1. Acceptance of Terms

By accessing or using ChatBakers (the "Service"), operated by UGIPO Group s.r.o. ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you and UGIPO Group s.r.o., a company incorporated under the laws of the Czech Republic, with its registered office at Pobrezni 249/46, Karlin, 186 00 Praha (ICO: 10907271).

2. Description of Service

ChatBakers is an AI visibility monitoring platform that tracks how AI models (including ChatGPT, Perplexity, Gemini, Claude, Copilot, and Grok) mention and recommend brands. The Service includes visibility scoring, competitor tracking, citation analysis, content recommendations, and related analytics features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized access or use of your account.

You must be at least 16 years of age to create an account. By registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Subscription and Billing

The Service is offered under subscription plans (Starter, Growth, Pro, Enterprise) with pricing as displayed on our website. Key billing terms:

• Free trial: New accounts receive a 7-day free trial with full access to all features. No credit card is required during the trial.
• Billing cycle: Subscriptions are billed monthly or annually, depending on your chosen plan.
• Payment processing: Payments are processed securely through Stripe. You agree to Stripe's terms of service for payment processing.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.
• Refunds: We do not provide refunds for partial billing periods, except as required by applicable law.
• Price changes: We may change subscription prices with 30 days' advance notice. Continued use after the change constitutes acceptance.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Interfere with or disrupt the Service's infrastructure or other users' access.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated tools to scrape, harvest, or extract data beyond the Service's intended functionality.
• Resell, redistribute, or sublicense access to the Service without our written consent.
• Transmit malicious code, viruses, or any harmful content.

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

The Service, including its software, design, content, and branding, is owned by UGIPO Group s.r.o. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.

You may not copy, modify, reverse engineer, or create derivative works based on the Service.

7. User Content and Data

You retain ownership of the data you provide to the Service (e.g., website URLs, brand names, competitor lists). By using the Service, you grant us a limited license to process this data solely to provide and improve the Service.

The AI visibility data, analytics, and reports generated by the Service are provided for your informational use. We make no guarantees about the completeness or accuracy of AI model responses, as they are generated by third-party AI systems beyond our control.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI visibility data is complete, accurate, or real-time.
• The Service will meet your specific requirements or expectations.

AI model responses are generated by third-party systems (OpenAI, Google, Anthropic, etc.) and may change at any time without notice. We monitor these responses but do not control them.

9. Limitation of Liability

To the maximum extent permitted by applicable law, UGIPO Group s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate the agreement at any time. You can cancel your subscription through the application settings or by contacting us. We may terminate or suspend your access if you breach these Terms.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination, after which it will be permanently deleted.

11. Governing Law and Disputes

These Terms are governed by the laws of the Czech Republic. Any disputes arising from these Terms shall be resolved by the competent courts of the Czech Republic, unless mandatory consumer protection laws of your jurisdiction provide otherwise.

For EU consumers: You may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Service. Your continued use after the effective date of changes constitutes acceptance of the updated Terms.
